Varonis-Proofpoint Deal Combines Cybersecurity Capabilities, Oppenheimer Says

03:03 PM EDT, 10/16/2026 (MT Newswires) -- Varonis Systems' (VRNS) planned $6.3 billion acquisition by Thoma Bravo portfolio company Proofpoint would combine complementary cybersecurity capabilities, with Proofpoint understanding the entities and communications that put data at risk and Varonis knowing where sensitive data resides and who can access it, Oppenheimer said. The investment firm said in a Thursday note that it believes the pending acquisition would establish a platform company in a key cybersecurity niche that other vendors have only partially addressed. Although Oppenheimer expects the combined company to compete primarily with private vendors, it sees potential for future overlap in data loss prevention and data security posture management with vendors such as Netskope (NTSK) and Zscaler (ZS). Oppenheimer said the acquisition creates an opening for Cyera and other data security posture management pure-play vendors to pursue competitive displacements, as self-hosted Varonis customers already face end-of-support by year-end. Varonis shares were up nearly 3% in Friday afternoon trading. Price: 48.69, Change: +1.35, Percent Change: +2.84
